Nothing in these Terms and Conditions is intended to limit any consumer rights that cannot lawfully be waived or restricted.

2.2 If you do not agree to these Terms and Conditions, you must not use the website or place an order.

2.3 You must be at least 18 years old and legally capable of entering into a binding contract to place an order.

2.4 A person under the age of 18 may use the website only under the supervision of a parent or legal guardian who agrees to be bound by these Terms and Conditions.

2.5 You agree that contracts, notices, disclosures, confirmations and other communications may be provided electronically.

3.1 The KIYOMA online store covered by these Terms and Conditions is intended for customers purchasing products within the United States.

3.2 We ship only to destinations made available during checkout.

3.3 The availability of shipping to Alaska, Hawaii, United States territories, military addresses, post office boxes or other special destinations may depend on the product and shipping method selected.

3.4 We may decline an order when we are unable to deliver to the address provided or when the requested destination is not supported by our shipping partners.


4. Products and product information

4.1 We make reasonable efforts to display and describe our products accurately.

4.2 Product descriptions may include information regarding materials, dimensions, colors, finishes, weight, capacity, care instructions and intended use.

4.3 Product images are provided for illustrative purposes. Actual colors and appearance may vary slightly due to:

  • Screen settings and device displays;
  • Lighting conditions;
  • Manufacturing tolerances;
  • Natural variations in materials; and
  • Minor differences between production batches.

4.4 Measurements, capacities and weights are approximate unless expressly stated otherwise.

  • The website contains an obvious pricing or product-information error;
  • The quantity ordered exceeds reasonable household quantities;

6.7 If we cancel an order after payment has been collected, we will refund the amount paid for the canceled portion of the order to the original payment method.

7. Prices, sales tax and additional charges

7.1 Prices displayed on the United States store are stated in United States dollars unless otherwise indicated.

7.2 Product prices generally exclude applicable sales tax unless the website expressly states otherwise.

7.3 Applicable taxes are calculated based on factors such as the products ordered, the delivery destination and the legal requirements applicable to the transaction.

7.4 Shipping charges and any other applicable fees will be displayed before you submit the order.

7.5 The complete amount payable will be shown during checkout before you confirm your purchase.

7.6 We may change product prices at any time. Price changes do not affect orders that we have already accepted.

7.7 Despite our reasonable efforts, a product may occasionally be listed at an incorrect price.

When an obvious pricing error occurs, we may:

  • Cancel the affected item or order and issue a refund.

8. Payment

8.5 We do not ordinarily store complete payment-card details directly on our systems.

8.6 We and our payment partners may perform fraud-prevention, security and identity-verification checks before accepting or shipping an order.

8.7 If payment is declined, reversed, disputed, canceled or not fully completed, we may suspend or cancel the order.

8.8 If you select a third-party installment or deferred-payment service, your agreement with that provider is separate from your agreement with KIYOMA.


9. Shipping and delivery

9.1 Available shipping methods, estimated delivery periods and shipping charges are displayed on the website or during checkout.

9.2 Delivery estimates are provided in good faith but are not guaranteed unless we expressly identify a delivery date as guaranteed.

9.3 We will have a reasonable basis for any shipping period stated on the website or during checkout.

9.4 If no shipping period is stated, we will ship the order within the period required by applicable law, generally within 30 days after receiving a properly completed order.

9.5 If we are unable to ship within the promised or legally applicable period, we will provide an appropriate delay notice and, when required:

  • Request your consent to the revised shipping period; or
  • Cancel the affected order and provide a refund.

9.6 You are responsible for providing a complete and accurate shipping address.

9.7 We are not responsible for delays or additional costs caused by an incorrect or incomplete address supplied by the customer, except where caused by our error.

9.8 Additional charges resulting from an incorrect address, an unclaimed package, a refused delivery or repeated unsuccessful delivery attempts may be charged or deducted from a refund where permitted by law.

9.9 Orders containing multiple products may be shipped in separate packages.

9.10 We will not charge additional shipping fees solely because we choose to split an order into multiple shipments.

9.11 Title to and risk of loss for the products pass to you when the products are delivered to you or to a person designated by you, except where applicable law provides otherwise.

9.12 If tracking shows that a package has been delivered but you cannot locate it, please contact us promptly so that we can review the delivery information and assist where reasonably possible.


10. Pre-orders and backordered products

10.1 A product identified as a pre-order or backordered product is not immediately available for shipment.

10.2 The estimated shipping or delivery period will be displayed on the applicable product page or communicated separately.

10.3 Estimated pre-order dates may change due to production, transportation, supply-chain or other circumstances.

10.4 Payment for a pre-order may be collected when the order is placed.

10.5 An order containing both in-stock and pre-order products may be held until all products are available or shipped separately.

10.6 If a pre-order is significantly delayed, we will provide an appropriate update and any options required under applicable law.

10.7 If we cancel a pre-ordered product, we will refund the amount paid for that product.


11. Order changes and cancellations

11.1 Please contact us as soon as possible if you wish to change or cancel an order.

11.2 We cannot guarantee that an order can be changed or canceled after it has been submitted.

11.3 Once an order has entered processing, been packed or been transferred to a shipping carrier, we may be unable to cancel or modify it.

11.4 If an order can no longer be canceled, you may request a return after delivery in accordance with our Return Policy.

11.5 If we successfully cancel an order before shipment, the amount collected for the canceled products will be refunded to the original payment method.

11.6 A temporary payment authorization may remain visible until your bank or payment provider releases it.


12. Returns, exchanges and refunds

12.1 Return and exchange eligibility, deadlines, conditions, fees and instructions are set out in our Return Policy.

12.2 Our Return Policy forms part of these Terms and Conditions and should be reviewed before placing an order.

12.3 To qualify for a voluntary return, a product must generally:

  • Be returned within the stated return period;
  • Be unused and undamaged;
  • Be clean and free from stains, odors or other signs of use;
  • Include its original tags, labels and accessories, where applicable;
  • Be returned with its original packaging where reasonably possible; and
  • Include sufficient information to identify the order.

12.4 Products may be inspected after return to determine whether they meet the applicable conditions.

12.5 Certain products may be excluded from voluntary returns where clearly disclosed before purchase, including:

  • Personalized or custom-made products;
  • Products marked as final sale;
  • Products that cannot be resold for health or hygiene reasons after a protective seal has been opened;
  • Used, altered, washed or damaged products; and
  • Other products identified as nonreturnable before checkout.

12.6 Any applicable return-shipping charge, restocking fee or original-shipping deduction will be disclosed in the Return Policy or before the return is completed.

12.7 Refunds are ordinarily issued to the original payment method after the returned product has been received and inspected.

12.8 The time required for a refund to appear in your account may depend on your bank or payment provider.

12.9 A refund for a discounted product will be based on the amount actually paid.

12.10 These voluntary return conditions do not limit any nonwaivable rights relating to defective, damaged, incorrectly supplied or misrepresented products.


13. Incorrect, damaged or defective products

13.1 Please inspect your order within a reasonable period after delivery.

13.2 If a product is incorrect, incomplete, damaged during shipment or appears defective, please contact us promptly at hello@kiyoma.com.

13.3 We may reasonably request:

  • Your order number;
  • A description of the issue;
  • Clear photographs or videos of the product;
  • Photographs of the packaging and shipping label; and
  • Other information reasonably necessary to evaluate the claim.

13.4 You should follow the return or disposal instructions provided by our customer service team.

13.5 Depending on the circumstances and applicable law, we may offer:

  • A replacement product;
  • A repair, where appropriate;
  • A partial refund;
  • A full refund; or
  • Another reasonable resolution agreed with you.

13.6 When a product is confirmed to have been supplied incorrectly, damaged during delivery or defective when delivered, we will cover reasonable return costs where required.

13.7 We may decline to reimburse an unauthorized or unreasonably expensive return method when we offered an appropriate alternative.


14. Promotions, discounts and free gifts

14.1 Promotions, discount codes, free gifts and special offers are subject to the conditions communicated with the applicable offer.

14.2 Promotions may be limited by:

  • Start and end dates;
  • Product availability;
  • Minimum purchase amounts;
  • Eligible products or collections;
  • Customer, household or account;
  • Geographic location; or
  • Maximum redemption quantities.

Unless expressly stated otherwise, discount codes cannot be combined or applied retroactively.

14.4 Discount codes have no cash value and may not be resold, reproduced or transferred for commercial purposes.

14.5 We may reject or cancel a discount when it:

  • Has expired;
  • Is used contrary to its conditions;
  • Was obtained or distributed fraudulently; or
  • Results from an obvious technical or pricing error.

14.6 If a free gift was provided because an order met a particular purchase requirement and returned products cause the remaining order to fall below that requirement, the free gift may also need to be returned when this condition was clearly disclosed.

14.7 If the free gift is not returned, we may deduct its disclosed retail value from the refund where permitted by law.

14.8 Free gifts cannot ordinarily be exchanged for cash or refunded separately.


15. Gift cards and store credit

15.1 If KIYOMA offers gift cards, gift certificates or store credit, they are subject to the conditions displayed at the time of purchase or issuance.

15.2 Gift cards and store credit:

  • May be used only for eligible purchases through the KIYOMA store;
  • Are not redeemable for cash except where required by law;
  • May not be used to purchase another gift card unless permitted;
  • Should be treated like cash; and
  • May be subject to additional conditions disclosed at issuance.

15.3 We are not responsible for a gift card that is lost, stolen or used without authorization, except where applicable law provides otherwise.

15.4 Expiration dates, fees and cash-redemption rights will be governed by applicable federal and state law.

15.5 We may suspend or cancel a gift card obtained through fraud, an unauthorized transaction or another unlawful method.


16. Product use and care

16.1 Products should be used only for their intended purpose and in accordance with all instructions, warnings and care information provided with the product or on our website.

16.2 You are responsible for reviewing relevant product information before use.

16.3 Where appropriate, cleaning products or treatments should first be tested on a small, inconspicuous area.

16.4 To the extent permitted by law, KIYOMA is not responsible for damage resulting from:

  • Improper or unintended use;
  • Failure to follow care or safety instructions;
  • Use of unsuitable cleaning or maintenance products;
  • Unauthorized modification or repair;
  • Improper storage;
  • Normal wear and tear; or
  • Damage occurring after delivery that is not caused by an original defect.


17. Product warranties

17.1 Certain products may be covered by a separate written warranty.

17.2 When a separate written warranty is provided, its duration, coverage, exclusions and claim procedure will be described in the warranty documentation or on the applicable product page.

17.3 A separate written warranty is in addition to any rights that cannot legally be excluded under applicable federal or state law.

17.4 Unless stated otherwise in an applicable warranty, warranty coverage does not ordinarily include:

  • Normal wear and tear;
  • Accidental damage;
  • Cosmetic changes that do not affect normal use;
  • Misuse, neglect or improper storage;
  • Damage caused by unsuitable care products;
  • Unauthorized repairs or modifications; or
  • Damage caused by failure to follow instructions.

17.5 Some states do not allow certain limitations on implied warranties. Any limitation in these Terms applies only to the extent permitted by the law applicable to you.


18. Intellectual property

18.1 The website and its contents are owned by KIYOMA, licensed to KIYOMA or used with permission.

Protected content may include:

  • The KIYOMA name, trademarks and logos;
  • Product names and designs;
  • Photographs, videos and graphics;
  • Product descriptions and written content;
  • Website design and layout;
  • Software, code and technical features; and
  • Other intellectual-property materials.

18.2 You may use the website and its content only for personal, noncommercial shopping and informational purposes.

18.3 Without prior written permission, you may not:

  • Copy, reproduce, modify or republish website content;
  • Use our product photographs or descriptions on another store or marketplace;
  • Sell, license or commercially exploit website content;
  • Use automated tools to extract or scrape data;
  • Reverse engineer website software, except where legally permitted; or

19.3 If you received a free product, discount, payment or other benefit in connection with a review, you must disclose that relationship clearly.

19.4 Any incentive offered for submitting a review will not be conditioned on the review expressing a positive opinion.

19.5 By submitting content, you grant KIYOMA a nonexclusive, worldwide, royalty-free license to use, reproduce, display, distribute, translate, adapt and publish the content for:

  • Our website;
  • Social-media channels;
  • Advertising and marketing materials;
  • Email communications; and
  • Other legitimate brand communications.

19.6 The license applies subject to applicable privacy, intellectual-property and publicity-right laws.

19.7 We may moderate, reject or remove content that violates these Terms, applicable law or another person’s rights.

19.8 We are not required to publish every review or submission received.


20. Prohibited activities

24.4 To the fullest extent permitted by law, we are not liable for indirect, incidental, special, exemplary, punitive or consequential damages that were not reasonably foreseeable.

24.5 Products sold through the consumer website are intended primarily for personal, household or family use.

To the extent permitted by law, we are not responsible for business-related losses arising from a consumer purchase, including:

  • Lost profits;
  • Lost revenue;
  • Lost business opportunities;
  • Business interruption; or
  • Loss of commercial goodwill.

24.6 Where permitted by law, KIYOMA’s total liability arising from a particular order will not exceed the amount you paid for the products giving rise to the claim.

24.7 Some jurisdictions do not permit certain exclusions or limitations of liability. In those jurisdictions, the applicable limitation will apply only to the maximum extent permitted by law.


25. Indemnification for misuse of the website

To the extent permitted by law, you agree to be responsible for reasonable losses, claims, liabilities and expenses resulting directly from:

  • Fire, flooding or severe weather;
  • Epidemics or public-health emergencies;
  • War, terrorism or civil unrest;
  • Government action or legal restrictions;
  • Strikes or labor disputes;
  • Transportation or carrier disruptions;
  • Power, telecommunications or internet outages;
  • Cyberattacks or major security incidents;
  • Supply shortages; and
  • Serious failures of essential suppliers or service providers.

26.2 We will take reasonable steps to minimize the effect of the event and resume performance when reasonably possible.

26.3 If the event results in a significant shipping delay, we will provide the delay, cancellation and refund options required by applicable law.


27. Governing law and disputes

27.1 These Terms and Conditions and any contract formed through the KIYOMA website are governed by the laws of the State of New York, without regard to its conflict-of-law principles.

27.2 This choice of law does not deprive you of any mandatory consumer protection provided by the law of the state in which you reside.

27.3 Before starting formal legal proceedings, you and KIYOMA agree to make a reasonable effort to resolve the dispute informally.

27.5 Unless applicable law gives you the right to bring a claim elsewhere, any legal proceeding arising from these Terms or a purchase from KIYOMA may be brought in a state or federal court with jurisdiction in New York County, New York.

27.6 Nothing in this section prevents either party from seeking appropriate relief in small claims court when the applicable requirements are met.

27.7 Nothing in these Terms limits your right to contact or file a complaint with an appropriate consumer-protection authority.


28. Changes to these Terms and Conditions

28.1 We may update these Terms and Conditions from time to time to reflect:

  • Changes to our products or order processes;

Severability

Assignment
29.5 You may not transfer your rights or obligations under these Terms without our prior written consent.

29.6 We may transfer our rights and obligations as part of a merger, reorganization, sale of assets or transfer of the KIYOMA business, provided that your rights are not materially reduced.

Entire agreement
29.7 These Terms and Conditions, together with the policies and information expressly incorporated into them, constitute the agreement between you and KIYOMA regarding use of the website and purchases made through it.

29.8 If there is a conflict between these Terms and a product-specific written warranty or promotion, the more specific provision will govern that subject.
